EXPLANATORY NOTE

 

This Registration Statement on Form S-8 (this “Registration Statement”) is filed for the purposes of registering (i) an additional 2,065,822 shares of common stock, par value $0.0001 per share (the “common stock”), of Black Diamond Therapeutics, Inc. (the “Registrant”) that may be issued pursuant to the 2020 Plan and (ii) an additional 326,364 shares of common stock that may be issued pursuant to the 2020 ESPP. The number of shares of common stock reserved and available for issuance under the 2020 Plan is subject to an annual increase on each January 1 by an amount equal to the lesser of: (i) four percent (4%) of the number of shares of common stock issued and outstanding on the immediately preceding December 31, or (ii) such lesser number of shares of common stock as determined by the Administrator (as defined in the 2020 Plan). Accordingly, on January 1, 2024, the number of shares of common stock reserved and available for issuance under the 2020 Plan increased by 2,065,822. This Registration Statement registers these additional 2,065,822 shares of common stock. The additional shares are of the same class as other securities relating to the 2020 Plan for which the Registrant’s registration statements filed on Form S-8 (File No. 333-236170, File No. 333-254686, File No. 333-263648, and File No. 333-270393) filed with the Securities and Exchange Commission (the “SEC”) on January 30, 2020, March 25, 2021, March 17, 2022, and March 9, 2023, respectively, are effective. The number of shares of common stock reserved and available for issuance under the 2020 ESPP is subject to an annual increase on each January 1 by an amount equal to the least of (i) 326,364 shares of common stock, (ii) one percent (1%) of the number of shares of common stock issued and outstanding on the immediately preceding December 31, or (iii) such lesser number of shares of common stock as determined by the Administrator (as defined in the 2020 ESPP). Accordingly, on January 1, 2024, the number of shares of common stock reserved and available for issuance under the 2020 ESPP increased by 326,364. This Registration Statement registers these additional 326,364 shares of common stock. The additional shares are of the same class as other securities relating to the 2020 ESPP for which the Registrant’s registration statements filed on Form S-8 (File No. 333-236170, File No. 333-254686, File No. 333-263648, and File No. 333-270393) filed with the SEC on January 30, 2020, March 25, 2021, March 17, 2022, and March 9, 2023, respectively, are effective.
